Terms and Conditions of Use Agreement

Website Terms and Conditions

Welcome to flightbridgeed.com, fastsymposium.com, emerge-learning.com, or a related family of website domains (the “Sites”).  The Sites are comprised of various web pages operated by FlightBridgeED, LLC. (“FlightBridgeED”). The Sites are offered to you (“You” or the “User”) conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of the Sites constitutes your agreement to the Terms. By using the Sites, you acknowledge that Your adherence to each provision in this Terms is critical for maintaining the safe, secure, inclusive, and educational atmosphere that FlightBridgeED seeks to promote on the Sites, and You agree that Your violation of any of the Terms constitutes a material breach of these Terms. If you breach the Terms, FlightBridgeED reserves the right to pursue all remedies allowed under law and equity, including but not limited to revoking your right to use the Sites. Please read these terms carefully, and keep a copy of them for reference.

FlightBridgeED Operates E-Commerce Websites

FlightBridgeED provides advanced certification test preparation education and study success tools for a variety of pre-hospital, critical care, and emergency medical credentials including, but not limited to, Certified Flight Paramedic (FP-C), Certified Flight Nurse (CFRN®), Certified Critical Care Paramedic (CCP-C), Certified Transport Registered Nurse (CTRN®), Trauma Certified Registered Nurse (TCRN®). FlightBridgeED also provides fully accredited continuing education courses (with associated universally accepted CE hours) for advanced certification holders, as described above, which are also applicable for national and state certification and licensure renewal. Please always consult and refer to your specific state CE guidelines and CE hour requirements. Lastly, FlightBridgeED also provides free open-access medical education (foamED) at no cost and as-is to all who are interested in learning more about advanced critical care topics.

Privacy

Your Sites use is subject to FlightBridgeED’s Privacy Policy[1]. Please review the most current Privacy Policy, which governs the Sites and informs Users of FlightBridgeED’s data collection, retention, and security practices. This policy is available for access in the footer of any of the Sites and uniformly applies to all sites maintained by FlightBridgeED.

Electronic Communications

Visiting the Sites, sending emails to FlightBridgeED, and using the Site’s integrated chat function constitutes electronic communication (each an “Electronic Communication System”). By using the Sites, You consent to receive electronic communications from FlightBridgeED and its affiliates, and You further agree that all agreements, notices, disclosures, and other communications that are provided to You electronically, via email, and on the Site satisfy any legal requirement that such communications be in writing. FlightBridgeED expects and requires that all Users (including You) maintain appropriate decorum and decency when using the Sites, communicating with FlightBridgeED staff members, and/or using any Electronic Communications System. Any use of abusive, obscene, or threatening language constitutes a breach of these Terms. Any User who sends any message containing language that is abusive, obscene, or threatening (in FlightBridgeED’s sole discretion)  via any Electronic Communications System may be subject to any penalty allowed under law or equity, including but not limited to the immediate deactivation of their User Account(s) (defined below), forfeiture of access to any and all FlightBridgeED websites (including FlightBridgeED operated Learning Management Systems (“LMS”) including any formerly purchased online courses hosted on the Sites) without notice and refund. This policy is implemented at the sole discretion of FlightBridgeED and may not be appealed.

User Account(s)

If You use any of the Sites, you are responsible for maintaining the confidentiality of the unique account (which is identified by your unique username and password) via which you may access the Sites (“User Account”) information (including your password) and for restricting access to your User Account. You acknowledge and agree that You are responsible for all activities that occur using or relating to your User Account. Your User Account is unique to you, and You will not assign or otherwise transfer your User Account to any other person or entity. You acknowledge and agree that FlightBridgeED is not responsible for third-party access to your User Account that results from theft or misappropriation of your User Account. FlightBridgeED and its affiliates reserve the right to refuse or cancel Your service, terminate Your User Accounts, and/or remove or edit content in any of your posts, messages, or other content on the Sites provided by You, in FlightBridgeED’s sole discretion.

Use of the Site by Minors

By using any of the Sites, You affirm that You are either: (1) at least 18 years of age (or an emancipated minor) and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties outlined in these Terms, or (2) have express permission for Your use of the Sites by Your parent or legal guardian and Your parent, or legal guardian has consented to these Terms on your behalf. If you are under 18, you may use the Sites only with the permission of a parent or guardian. In any case, You affirm that You are at least 13 years of age. If You are under 13 years of age, You may not use the Sites without the assistance of a parent or guardian. FlightBridgeED does not knowingly collect personal information from persons under the age of thirteen, either online or offline. Suppose FlightBridgeED does inadvertently collect any personal information of any person under the age of 13. In that case, FlightBridgeED will return or delete such information upon notification or recognition that such information relates to a person under the age of 13.

Cancellation/Refund Policy

FlightBridgeED Price-Match Policy

FlightBridgeED does not commit to participation in any price match. This includes price matches from competitor offers and advertising and price match refunds on FlightBridgeED’s products related to a sale. No refunds will be issued for a price difference paid before or after any sale, promotion, or offer.

Physical Merchandise

All items which must be shipped to You are considered physical merchandise. These include, but are not limited to, items such as books and t-shirts. All physical merchandise is sold “as is,” with no expressed returns accepted. For defects in tangible craftsmanship, please get in touch with us for a replacement item.

Digital Purchases

All digital sales are final at the time of purchase, and no refunds will be made for any digital purchase.

Education/Class Licenses

In consideration for Your complete and successful purchase of and enrollment in a course, FlightBridgeED grants you a non-transferable, time-limited, revocable, non-exclusive license to view the course material and interact with certain course elements on the Sites and the Emerge LMS™ platform. All use of the Emerge LMS™ platform and any other LMS platform we may provide will be subject to the applicable terms and conditions.

FlightBridgeED may suspend the foregoing license for any reason that is commercially reasonable, in FlightBridgeED’s sole discretion, including but not limited to the following reasons (hereafter known as “Loss of License Terms”):

  • You attempt to circumvent, in any way, course progression limitations put in place as a requirement of course accreditation;
  • You create, reverse engineer, plagiarize, or obtain unlicensed copies of course materials or videos via any means with or without intent to distribute or attempt to perform any of the preceding;
  • You engage in threatening, abusive, or rude behavior directed at course-related staff members, including but not limited to customer service agents, instructors, support staff, executive staff members, and/or contractors engaged in business-related functions with FlightBridgeED.

Severe violations of the foregoing (including violations that include threatening or abusive behavior) may result in being completely banned from the Sites (including the FlightBridgeED website), any and all FlightBridgeED classroom-based courses, or events, and may result in legal action. Enforcement of these terms is at the sole discretion of FlightBridgeED.

In-person (Live) Events and Courses

The terms governing FlightBridgeED’s annual conference are set out in the Conference Terms and Conditions Agreement[1]. These Terms do not apply to the annual conference. For any other in-person (live) event or course, You may cancel your registration at any time via our website or by contacting customer support ([email protected]). The refund eligibility period ends thirty (30) days at midnight (12:00 am Eastern Time) before the start date of the event (“Refund Eligibility Period”). Suppose you cancel your registration during the Refund Eligibility Period. In that case, You will be refunded for the full amount of fees that you actually paid, minus a non-refundable processing fee of fifty dollars ($50). After the Refund Eligibility Period, You are no longer eligible to receive a refund in whole or in part for any customer-initiated cancellation request.

You may request to reschedule your registration so that You may attend another course at another time/location (depending on availability) at any time at least seven (7) days (at midnight (12:00 am Eastern Time) from the start of an event, by contacting customer support via email (at [email protected]), telephone (at 1-800-991-3160), or via the chat function on any of the Sites.

If You register for a review course, You may elect to transfer your registration over to the Online Review Course. Suppose a suitable in-person alternative for your review course is not available. In that case, the FlightBridgeED Customer Support team may, at their sole discretion, initiate a transfer to the Online Review Course.

FlightBridgeED will initiate all eligible refunds immediately upon receiving your request. Please be aware that some financial institutions may take up to four (4) weeks to credit your account fully. FlightBridgeED cannot contact your financial institution on your behalf for certain legal and privacy reasons.

Links to Third-Party Sites/Third-Party Services

The Sites may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of FlightBridgeED. You acknowledge and agree that as between You and FlightBridgeED, FlightBridgeED is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site or any changes or updates to a Linked Site. FlightBridgeED is providing these links to You only as a convenience, and the inclusion of any link does not imply endorsement by FlightBridgeED of the site or any association with its operators.

Certain services made available via the Sites are delivered by third parties (“Approved Third-Parties”). By using any product, service, or functionality originating from the Sites, you hereby acknowledge and consent that FlightBridgeED may share such information and data with any Approved Third-Parties with whom FlightBridgeED has a contractual relationship to provide a requested product, service, or functionality.

Certain services delivered by Approved Third-Parties may include the ability to borrow money. We make those services available “as-is” and with no warranties. Before using those services, we recommend reviewing your rights under federal and state law, including at https://www.federalreserve.gov/supervisionreg/regzcg.htm and https://www.fdic.gov/regulations/laws/rules/6500-200.html.

No Unlawful or Prohibited Use/Intellectual Property

Under this Agreement, You are granted a non-exclusive, non-transferable, revocable license to access and use the Sites and associated content strictly per these Terms. As a condition of your use of the Sites, You represent and warrant to FlightBridgeED that You will not use the Sites for any purpose that is unlawful and/or prohibited by these Terms. You may not use the Sites in any manner which could damage, disable, overburden, or impair the Sites or interfere with any other party’s use and enjoyment of the Sites. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Sites.

All content included as part of the Sites, such as text, graphics, logos, images, videos, educational structure, as well as the compilation thereof, and any software used on the Sites, is the property of FlightBridgeED or its suppliers and protected by trademark, copyright, and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. FlightBridgeED content is not for resale. Your use of the Sites does not entitle you to make any unauthorized use of any FlightBridgeED content. In particular, you will not reproduce, delete, or alter proprietary marks, rights, or attribution notices in any content. You will use FlightBridgeED content solely for your personal use, and You will make no other use of the content without the express written permission of FlightBridgeED. You agree that you do not acquire ownership rights in any Sites content. FlightBridgeED does not grant you any licenses, express or implied, to the intellectual property of FlightBridgeED or our licensors except as expressly authorized by these Terms.

Screen capture of any kind (screenshots/images or screen capture/video) is strictly prohibited. Any User who is found to have violated this term is subject to all applicable penalties under law and equity, including but not limited to the immediate deactivation of their User account(s), forfeiture of access to any and all FlightBridgeED websites including FlightBridgeED operated Learning Management Systems (“LMS”) including any formerly purchased online courses hosted on the Sites without notice and without refund. In addition, Users who violate this term are subject to prosecution under U.S. and/or international copyright laws. This policy may be implemented at the sole discretion of FlightBridgeED and may not be appealed.

Use of Communication Services

The Sites may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable You to communicate with the public at large or with a group (collectively, “Communication Services”). You agree that You will use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of a non-limiting example, You agree that when using a Communication Service, You will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.

FlightBridgeED has no obligation to monitor the Communication Services. However, FlightBridgeED reserves the right to review materials posted to a Communication Service and to remove any materials at its sole discretion. FlightBridgeED reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

FlightBridgeED reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request or to edit, refuse to post, or remove any information or materials, in whole or in part, in FlightBridgeED’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. FlightBridgeED does not control or endorse the content, messages, or information found in any Communication Service; therefore, FlightBridgeED specifically disclaims any liability concerning the Communication Services and any actions resulting from your participation in any Communication Service.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.

Materials Provided to the Sites

FlightBridgeED does not claim ownership of the materials you provide to the Sites (including feedback and suggestions) or post, upload, input, or submit to the Sites or our associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing, or submitting your Submission, you are granting FlightBridgeED, our affiliated companies, and sublicensees permission and a fully paid-up, irrevocable, worldwide, non-exclusive right to use your Submissions (including, without limitation, the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission) for any purpose, including but not limited to purposes in connection with the operation of FlightBridgeED’s Internet businesses.

No fees will be paid concerning the use of your Submission, as provided herein. FlightBridgeED is under no obligation to post or use any Submission you may provide and may remove any Submission at any time at FlightBridgeED’s sole discretion.

By posting, uploading, inputting, providing, or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section, including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

International Users

The Service is controlled, operated, and administered by FlightBridgeED from our offices within the USA. You are responsible for compliance with all local laws if you access the Service from a location outside the USA. You agree that you will not use the FlightBridgeED Content accessed through the Sites in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.

Indemnification

You agree to indemnify, defend and hold harmless FlightBridgeED, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Sites or services, any user postings made by you, your violation of any terms of these Terms or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. FlightBridgeED reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In this event, you will fully cooperate with FlightBridgeED in asserting any available defenses.

Arbitration

If the parties are not able to resolve any dispute between them arising out of or concerning these Terms, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration according to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. If any legal or equitable action, proceeding, or arbitration arises from or concerns these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims regarding these Terms or any disputes arising from these Terms, whether directly or indirectly, including Tort claims resulting from these Terms. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The Arbitrator shall determine the entire dispute, including the scope and enforceability of this arbitration provision. This arbitration provision shall survive the termination of these Terms.

Class Action Waiver

Any arbitration under these Terms will take place individually; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH INDIVIDUAL’S CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and FlightBridgeED agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. FLIGHTBRIDGEED, LLC. AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE SITES AT ANY TIME WITHOUT NOTICE.

FLIGHTBRIDGEED, LLC. AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. FLIGHTBRIDGEED, LLC. AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS CONCERNING THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLIGHTBRIDGEED, LLC. AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF FLIGHTBRIDGEED, LLC. OR ANY OF ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination/Access Restriction

FlightBridgeED reserves the right, in its sole discretion, to terminate your access to the Sites and the related services or any portion thereof at any time, without notice, and without refund of any monies paid for the services. To the maximum extent permitted by law, These Terms shall be governed and interpreted by the laws of the State of Minnesota without regard to its conflicts of law provisions.  The sole and exclusive jurisdiction and venue for any dispute concerning these Terms shall be in the federal or state courts located in the State of Minnesota, and each party hereby submits to the sole and exclusive personal jurisdiction in the State of Minnesota for any such dispute and irrevocably waives any and all rights to object to such jurisdiction. Use of the Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and FlightBridgeED due to these Terms or use of the Site. FlightBridgeED’s performance of these Terms is subject to existing laws and legal processes, and nothing contained in these Terms is in derogation of FlightBridgeED’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Sites or information provided to or gathered by FlightBridgeED concerning such use. If any part of these Terms is determined to be invalid or unenforceable according to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms shall continue in effect.

Unless otherwise specified herein, these Terms constitute the entire agreement between the User and FlightBridgeED concerning the Sites. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the User and FlightBridgeED concerning the Sites. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that these Terms and all related documents be written in English.

Changes to Terms

FlightBridgeED reserves the right, in its sole discretion, to change the Terms under which the Sites are offered without notice. The most current version of the Terms will supersede all previous versions. FlightBridgeED encourages you to review the Terms to stay informed of our updates periodically.

FlightBridgeED provides advanced certification test preparation education and study success tools for a variety of pre-hospital, critical care, and emergency medical credentials including, but not limited to, Certified Flight Paramedic (FP-C), Certified Flight Nurse (CFRN®), Certified Critical Care Paramedic (CCP-C), Certified Transport Registered Nurse (CTRN®), Trauma Certified Registered Nurse (TCRN®). FlightBridgeED also provides fully accredited continuing education courses (with associated universally accepted CE hours) for advanced certification holders, as described above, which are also applicable for national and state certification and licensure renewal. Please always consult and refer to your specific state CE guidelines and CE hour requirements. Lastly, FlightBridgeED also provides free open-access medical education (foamED) at no cost and as-is to all who are interested in learning more about advanced critical care topics.

Privacy

Site(s) use is subject to FlightBridgeED’s Privacy Policy. Please review the most current Privacy Policy, which governs the Sites and informs Users of FlightBridgeED’s data collection, retention, and security practices. This policy is available for access in the footer of any of the Sites and uniformly applies to all sites maintained by FlightBridgeED.

Electronic Communications

Visiting the Sites, sending emails to FlightBridgeED, and using the Site’s integrated chat function constitutes electronic communication (each an “Electronic Communication System”). By using the Sites, You consent to receive electronic communications from FlightBridgeED and its affiliates, and You further agree that all agreements, notices, disclosures, and other communications that are provided to You electronically, via email, and on the Site satisfy any legal requirement that such communications be in writing.

FlightBridgeED expects and requires that all Users (including You) maintain appropriate decorum and decency when using the Sites, communicating with FlightBridgeED staff members, and/or using any Electronic Communications System. Any use of abusive, obscene, or threatening language constitutes a breach of these Terms. Any User who sends any message containing language that is abusive, obscene, or threatening (in FlightBridgeED’s sole discretion)  via any Electronic Communications System may be subject to any penalty allowed under law or equity, including but not limited to the immediate deactivation of their User Account(s) (defined below), forfeiture of access to any and all FlightBridgeED websites (including FlightBridgeED operated Learning Management Systems (“LMS”) including any formerly purchased online courses hosted on the Sites) without notice and without refund. This policy is implemented at the sole discretion of FlightBridgeED and may not be appealed.

User Account(s)

If You use any of the Sites, you are responsible for maintaining the confidentiality of the unique account (which is identified by your unique username and password) via which you may access the Sites (“User Account”) information (including your password) and for restricting access to your User Account. You acknowledge and agree that You are responsible for all activities that occur using or relating to your User Account. Your User Account is unique to you, and You will not assign or otherwise transfer your User Account to any other person or entity. You acknowledge and agree that FlightBridgeED is not responsible for third-party access to your User Account that results from theft or misappropriation of your User Account. FlightBridgeED and its affiliates reserve the right to refuse or cancel Your service, terminate Your User Accounts, and/or remove or edit content in any of your posts, messages, or other content on the Sites provided by You, in FlightBridgeED’s sole discretion.

Use of the Site by Minors

By using any of the Sites, You affirm that You are either: (1) at least 18 years of age (or an emancipated minor) and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties outlined in these Terms, or (2) have express permission for Your use of the Sites by Your parent or legal guardian and Your parent, or legal guardian has consented to these Terms on your behalf. If you are under 18, you may use the Sites only with the permission of a parent or guardian. In any case, You affirm that You are at least 13 years of age. If You are under 13 years of age, You may not use the Sites without the assistance of a parent or guardian. FlightBridgeED does not knowingly collect personal information from persons under the age of thirteen, either online or offline. Suppose FlightBridgeED does inadvertently collect any personal information of any person under the age of 13. In that case, FlightBridgeED will return or delete such information upon notification or recognition that such information relates to a person under the age of 13.

Cancellation/Refund Policy

FlightBridgeED Price-Match Policy

FlightBridgeED does not commit to participation in any price match. This includes price matches from competitor offers and advertising and price match refunds on FlightBridgeED’s products related to a sale. No refunds will be issued for a price difference paid before or after any sale, promotion, or offer.

Physical Merchandise

All items which must be shipped to You are considered physical merchandise. These include, but are not limited to, items such as books and t-shirts. All physical merchandise is sold “as is,” with no expressed returns accepted. For defects in tangible craftsmanship, please contact us for a replacement item.

Digital Purchases

All digital sales are final at the time of purchase, and no refunds will be made for any digital purchase.

In consideration for Your complete and successful purchase of and enrollment in a course, FlightBridgeED grants you a non-transferable, time-limited, revocable, non-exclusive license to view the course material and interact with certain course elements on the Sites and the Emerge LMS™ platform. All use of the Emerge LMS™ platform and any other LMS platform we may provide will be subject to the applicable terms and conditions.

Education/Class Licenses

FlightBridgeED may suspend the foregoing license for any reason that is commercially reasonable, in FlightBridgeED’s sole discretion, including but not limited to the following reasons (hereafter known as “Loss of License Terms”):

  • You attempt to circumvent, in any way, course progression limitations put in place as a requirement of course accreditation;
  • You create, reverse engineer, plagiarize, or obtain unlicensed copies of course materials or videos via any means with or without intent to distribute or attempt to perform any of the previous;
  • You engage in threatening, abusive, or rude behavior directed at course-related staff members, including but not limited to customer service agents, instructors, support staff, executive staff members, and/or contractors engaged in business-related functions with FlightBridgeED.

Severe violations of the foregoing (including violations that include threatening or abusive behavior) may result in being completely banned from the Sites (including the FlightBridgeED website), any and all FlightBridgeED classroom-based courses, or events, and may result in legal action. Enforcement of these terms is at the sole discretion of FlightBridgeED.

In-person (Live) Events and Courses

The terms governing FlightBridgeED’s annual conference are set out in the Conference Terms and Conditions Agreement. These Terms do not apply to the annual conference. For any other in-person (live) event or course, You may cancel your registration at any time via our website or by contacting customer support ([email protected]). The refund eligibility period ends thirty (30) days at midnight (12:00 am Eastern Time) before the start date of the event (“Refund Eligibility Period”). Suppose you cancel your registration during the Refund Eligibility Period. In that case, You will be refunded for the full amount of fees that you actually paid, minus a non-refundable processing fee of fifty dollars ($50). After the Refund Eligibility Period, You are no longer eligible to receive a refund in whole or in part for any customer-initiated cancellation request.

You may request to reschedule your registration so that You may attend another course at another time/location (depending on availability) at any time at least seven (7) days (at midnight (12:00 am Eastern Time) from the start of an event, by contacting customer support via email (at [email protected]), telephone (at 1-800-991-3160), or via the chat function on any of the Sites.

If You register for a review course, You may elect to transfer your registration over to the Online Review Course. If a suitable in-person alternative for your review course is unavailable, the FlightBridgeED Customer Support team may, at their sole discretion, initiate a transfer to the Online Review Course.

FlightBridgeED will initiate all eligible refunds immediately upon receiving your request. Please be aware that some financial institutions may take up to four (4) weeks to credit your account fully. FlightBridgeED cannot contact your financial institution on your behalf for legal and privacy reasons.

Links to Third-Party Sites/Third-Party Services

The Sites may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of FlightBridgeED. You acknowledge and agree that as between You and FlightBridgeED, FlightBridgeED is not responsible for the contents of any Linked Site, including any links contained in a Linked Site, or any changes or updates to a Linked Site. FlightBridgeED is providing these links to You only as a convenience, and the inclusion of any link does not imply endorsement by FlightBridgeED of the site or any association with its operators.

Certain services made available via the Sites are delivered by third parties (“Approved Third-Parties”). By using any product, service, or functionality originating from the Sites, you hereby acknowledge and consent that FlightBridgeED may share such information and data with any Approved Third-Parties with whom FlightBridgeED has a contractual relationship to provide a requested product, service, or functionality.

Certain services delivered by Approved Third-Parties may include the ability to borrow money. We make those services available “as-is” and with no warranties. Before using those services, we recommend reviewing your rights under federal and state law, including at https://www.federalreserve.gov/supervisionreg/regzcg.htm and https://www.fdic.gov/regulations/laws/rules/6500-200.html.

No Unlawful or Prohibited Use/Intellectual Property

Under this Agreement, You are granted a non-exclusive, non-transferable, revocable license to access and use the Sites and associated content strictly following these Terms. As a condition of your use of the Sites, You represent and warrant to FlightBridgeED that You will not use the Sites for any purpose that is unlawful and/or prohibited by these Terms. You may not use the Sites in any manner which could damage, disable, overburden, or impair the Sites or interfere with any other party’s use and enjoyment of the Sites. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Sites.

All content included as part of the Sites, such as text, graphics, logos, images, videos, educational structure, as well as the compilation thereof, and any software used on the Sites, is the property of FlightBridgeED or its suppliers and protected by trademark, copyright, and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. FlightBridgeED content is not for resale. Your use of the Sites does not entitle you to make any unauthorized use of any FlightBridgeED content. In particular, you will not reproduce, delete, or alter proprietary marks, rights, or attribution notices in any content. You will use FlightBridgeED content solely for your personal use, and You will make no other use of the content without the express written permission of FlightBridgeED. You agree that you do not acquire ownership rights in any Sites content. FlightBridgeED does not grant you any licenses, express or implied, to the intellectual property of FlightBridgeED or our licensors except as expressly authorized by these Terms.

Screen capture of any kind (screenshots/images or screen capture/video) is strictly prohibited. Any User who is found to have violated this term is subject to all applicable penalties under law and equity, including but not limited to the immediate deactivation of their User account(s), forfeiture of access to any and all FlightBridgeED websites including FlightBridgeED operated Learning Management Systems (“LMS”) including any formerly purchased online courses hosted on the Sites without notice and without refund. In addition, Users who violate this term are subject to prosecution under U.S. and/or international copyright laws. This policy may be implemented at the sole discretion of FlightBridgeED and may not be appealed.

Use of Communication Services

The Sites may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable You to communicate with the public at large or with a group (collectively, “Communication Services”). You agree that You will use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.

By way of a non-limiting example, You agree that when using a Communication Service, You will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.

FlightBridgeED has no obligation to monitor the Communication Services. However, FlightBridgeED reserves the right to review materials posted to a Communication Service and to remove any materials at its sole discretion. FlightBridgeED reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

FlightBridgeED reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request or to edit, refuse to post, or remove any information or materials, in whole or in part, in FlightBridgeED’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. FlightBridgeED does not control or endorse any Communication Service’s content, messages, or information. Therefore, FlightBridgeED specifically disclaims any liability concerning the Communication Services and any actions resulting from your participation in any Communication Service.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.

Materials Provided to the Sites

FlightBridgeED does not claim ownership of the materials you provide to the Sites (including feedback and suggestions) or post, upload, input, or submit to the Sites or our associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing, or submitting your Submission, you are granting FlightBridgeED, our affiliated companies, and sublicensees permission and a fully paid-up, irrevocable, worldwide, non-exclusive right to use your Submissions (including, without limitation, the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission) for any purpose, including but not limited to purposes in connection with the operation of FlightBridgeED’s Internet businesses.

No fees will be paid concerning the use of your Submission, as provided herein. FlightBridgeED is under no obligation to post or use any Submission you may provide and may remove any Submission at any time at FlightBridgeED’s sole discretion.

By posting, uploading, inputting, providing, or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section, including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

International Users

The Service is controlled, operated, and administered by FlightBridgeED from our offices within the USA. You are responsible for compliance with all local laws if you access the Service from a location outside the USA. You agree that you will not use the FlightBridgeED Content accessed through the Sites in any country or in any manner prohibited by any applicable laws, restrictions, or regulations. 

Indemnification

You agree to indemnify, defend and hold harmless FlightBridgeED, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorney’s fees) relating to or arising out of your use of or inability to use the Sites or services, any user postings made by you, your violation of any terms of these Terms or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. FlightBridgeED reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In this event, you will fully cooperate with FlightBridgeED in asserting any available defenses.

Arbitration

If the parties are not able to resolve any dispute between them arising out of or concerning these Terms, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration according to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. If any legal or equitable action, proceeding, or arbitration arises from or concerns these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims regarding these Terms or any disputes arising as a result of these Terms, whether directly or indirectly, including Tort claims resulting from these Terms. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The Arbitrator shall determine the entire dispute, including the scope and enforceability of this arbitration provision. This arbitration provision shall survive the termination of these Terms.

Class Action Waiver

Any arbitration under these Terms will take place individually; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH INDIVIDUAL’S CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE, AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and FlightBridgeED agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. FLIGHTBRIDGEED, LLC. AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES TO THE SITES AT ANY TIME WITHOUT NOTICE.

FLIGHTBRIDGEED, LLC. AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES, AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. Termination/Access Restriction

FlightBridgeED reserves the right, in its sole discretion, to terminate your access to the Sites and the related services or any portion thereof at any time, without notice, and without refund of any monies paid for the services. To the maximum extent permitted by law, These Terms shall be governed and interpreted by the laws of the State of Minnesota without regard to its conflicts of law provisions.  The sole and exclusive jurisdiction and venue for any dispute concerning these Terms shall be in the federal or state courts located in the State of Minnesota, and each party hereby submits to the sole and exclusive personal jurisdiction in the State of Minnesota for any such dispute and irrevocably waives any and all rights to object to such jurisdiction. Use of the Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and FlightBridgeED due to these Terms or use of the Site. FlightBridgeED’s performance of these Terms is subject to existing laws and legal processes, and nothing contained in these Terms is in derogation of FlightBridgeED’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Sites or information provided to or gathered by FlightBridgeED concerning such use. If any part of these Terms is determined to be invalid or unenforceable according to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms shall continue in effect.

Unless otherwise specified herein, these Terms constitute the entire agreement between the User and FlightBridgeED concerning the Sites. It supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the User and FlightBridgeED concerning the Sites. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that these Terms and all related documents be written in English.

Changes to Terms

FlightBridgeED reserves the right, in its sole discretion, to change the Terms under which the Sites are offered without notice. Acceptable Use Policy

This Acceptable Use Policy (this “AUP”) is between FlightBridgeED, LLC (“FlightBridgeED,” “we,” “our,” and “us”) and each individual end user (“you” or with “your”) of FlightBridgeED’s online learning management systems (referenced herein as the “Service”), and covers and governs your use of the Service. LICENSE GRANT

We hereby grant to you a personal, revocable, limited, non-exclusive, and non-transferable right to access and use the Service for the period for which you (or another person or entity on your behalf) have purchased access, conditioned upon your continued compliance with this AUP. FlightBridgeED reserves all rights not granted in the AUP.

YOUR CONTENT & YOUR PERMISSIONS

When you use our Service, you may provide us with things like your files, content, messages, videos, etc. (“Your Content”). You own Your Content. You represent to us that you have all necessary rights, power, and authority to use the Service and share Your Content and will comply with all applicable laws when doing so. You hereby grant us and third parties (with whom we work) permission to use, display, host, share and back up Your Content as is necessary or useful to provide the Service. Submitting Your Content permits us to identify you by your username and as your Content contributor.

THIRD-PARTY DIGITAL RIGHTS MANAGEMENT

We will store Your Content, video content, on the third-party digital rights management system, Vimeo, or another reasonably equivalent provider we designate (our “Content Hosting Provider”). We use our own Content Hosting Provider subscription to store content delivered on the Service, including Your Content. You may not sub-lease our Content Hosting Provider subscription or make any of Your Content hosted on our Content Hosting Provider subscription available to third parties outside the Services. SHARING YOUR CONTENT

Our Service lets you share Your Content with other users of the Service, so please think carefully about what you share. By using the Service, you agree to do so responsibly and not to misuse the Service or help anyone else do so. This includes, but is not limited to, not doing or trying to do any of the following in connection with the Service:

  • Store, transmit, or create libelous, obscene, deceptive, defamatory, pornographic, racist, sexual, hateful, unlawful, tortious, or otherwise objectionable content (except as necessary for legitimate instructional purposes, but in all cases in compliance with applicable laws and regulations);
  • Modify, translate, adapt, merge, do derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Service except to the extent the foregoing restrictions are expressly prohibited by applicable law;
  • Harm, harass, threaten, or impersonate any person or violate the rights of any third party;
  • Probe, scan, or test the vulnerability of any system or network;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Attempt to gain unauthorized access to the Service or its related systems or networks;
  • Introduce viruses, Trojan horses, worms, spyware, or other such malicious code into the Service;
  • Breach or otherwise circumvent any security or authentication measures;
  • Access, tamper with, or use non-public areas or parts of the Service or shared areas of the Service you haven’t been invited to;
  • Access, search, or create accounts for the Service by any means other than our publicly supported interfaces (for example, “scraping” or creating accounts in bulk);
  • Send unsolicited communications, promotions or advertisements, or spam;
  • Send altered, deceptive, or false source-identifying information, including “spoofing” or “phishing”;
  • Promote or advertise products or services other than your own without appropriate authorization;
  • Sell or re-sell the Service unless specifically authorized to do so;
  • Copy, reproduce, distribute, republish, download, display, post, or transmit in any form or by any means any part of the Service unless specifically authorized to do so;
  • Remove or destroy any copyright notices or other proprietary markings contained on or in the Service; or
  • Violate the law in any way, including by storing, publishing, or sharing material that is infringing, fraudulent, defamatory, misleading, or damaging to FlightBridgeED in any way.

YOUR RESPONSIBILITIES

You must provide all equipment necessary to access the Service and are responsible for all fees incurred when accessing the Service. Additionally, you are responsible for your conduct, Your Content, and your compliance with this AUP. Content in the Service may be protected by others’ intellectual property rights. You, therefore, agree that you won’t copy, reproduce, create derivative works of, decompile, upload, download, share, or otherwise exploit third-party content unless you have the right to do so. We may review your conduct and content for compliance with this AUP and remove content from the Service at any time and without notice. With that said, we have no obligation to do so. We are not responsible for the content people post and share via the Service. You also agree to safeguard your password to the Service, ensure that others do not have access to it, and keep your account information current. You are responsible for all activities on your account, regardless of whether you authorized such access.  You will comply with applicable industry security standards, including, but not limited to, maintaining strong and confidential passwords. You will treat all passwords as confidential and will not share passwords across multiple users. You will immediately report to us any actual or suspected security breaches, unauthorized access to your account, disclosure of confidential information, or violations of data security policies, incidents, concerns, or complaints by email at [email protected] or by telephone at (800) 991-3160. A compromise may affect the functionality of any account, and we will not restore access to such an account until the risk associated with any such compromise has been mitigated.

The Service may contain links to third-party websites that are not under our control. We are not responsible for such third-party websites. You may be required to agree to additional third-party terms and conditions to use such third-party websites.

OUR PROPERTY

The Service is protected by copyright, trademark, and other US and foreign laws. This AUP does not grant you any right, title, or interest in the Service or others’ content in the Service. We welcome feedback but note that we are not obligated to implement any of your feedback and will not have any obligations to you if we use your feedback.

CONFIDENTIALITY

From time to time, we may disclose or make available to you information about our business affairs, products/services, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information, whether orally or in written, electronic or other form or media, and whether or not marked, designated or otherwise identified as “confidential” (collectively, “Confidential Information”). You must not disclose Confidential Information to any third party without our prior written consent. You must restrict the dissemination of Confidential Information within your organization to only those employees who need access to the Confidential Information.

INFRINGEMENT

We respect the intellectual property of others and ask that you do too. We respond to notices of alleged infringement after receipt of a proper notice that complies with the law and is received by our designated agent. We reserve the right to delete or disable content alleged to be infringing and terminate accounts of repeat infringers. If you believe that any content in the Service constitutes infringement, please provide our designated agent with the following information:

  1. an electronic or physical signature of the person authorized to act on behalf of the rights owner;
  2. a description of the content you claim is being infringed;
  3. a description or link to the location of the material that you claim is infringing;
  4. your physical address, telephone number, and e-mail address;
  5. a statement that you have a good faith belief that the content is not authorized by the rights owner, its agent, or the law;
  6. a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on behalf of the owner.

TERMINATION & RIGHT TO SUSPEND

You are free to stop using our Service at any time. We also reserve the right to suspend or end the Service at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Service and remove Your Content if you are not complying with this AUP or using the Service in a manner that may cause us legal liability, disrupt the Service, disrupt others’ use of the Service or, in our sole opinion, reason, cause harm. This AUP, and your right to access and use the Service, will automatically terminate if: (a) if you individually purchased the right to use the Service, your agreement with us regarding the Service terminates or expires; or (b) if your employer purchased your right to use the Service on your behalf, your employer’s agreement with us regarding the Service terminates or expires, or you cease to be employed by such employer. All provisions of this AUP, which by their nature should survive, will survive the termination of your right to use the Service.

SERVICE “AS IS”

FLIGHTBRIDGEED AND ITS LICENSORS, SERVICE PROVIDERS, SUPPLIERS, AND PARTNERS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICE. THE SERVICE IS PROVIDED “AS IS.” IN ADDITION, WE DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ANY CONTENT DOWNLOADED OR ACCESSED FROM THE SERVICE IS ACCESSED AT YOUR OWN RISK.

LIMITATION OF LIABILITY

YOU EXPRESSLY ABSOLVE AND RELEASE FLIGHTBRIDGEED FROM ANY CLAIM OF HARM RESULTING FROM A CAUSE BEYOND FLIGHTBRIDGEED’S CONTROL. YOU FURTHER AGREE THAT IN NO EVENT SHALL FLIGHTBRIDGEED AND ITS LICENSORS, SERVICE PROVIDERS, SUPPLIERS, AND PARTNERS BE LIABLE FOR ANY DAMAGES OTHER THAN DIRECT DAMAGES OR ANY LOSS OF USE, DATA BUSINESS, OR PROFITS. THIS WILL BE REGARDLESS OF WHETHER OR NOT FLIGHTBRIDGEED OR ANY OF ITS LICENSORS, SERVICE PROVIDERS, SUPPLIERS, OR PARTNERS HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES. ADDITIONALLY, FLIGHTBRIDGEED AND ITS LICENSORS, SERVICE PROVIDERS, SUPPLIERS, AND PARTNERS WILL NOT BE LIABLE TO YOU FOR MORE THAN ANY AMOUNTS RECEIVED BY FLIGHTBRIDGEED FROM YOU AS A RESULT OF YOUR PERSONAL USE OF THE SERVICE IN THE 12 MONTHS PRECEDING YOUR CLAIM. IF YOU HAVE NOT PAID ANY AMOUNTS INDIVIDUALLY IN THE 12 MONTHS PRECEDING YOUR CLAIM, FLIGHTBRIDGEED’S SOLE AND EXCLUSIVE LIABILITY SHALL BE NO MORE THAN $50. MOREOVER, FLIGHTBRIDGEED SHALL NOT BE LIABLE FOR THE LOSS OR FAILURE TO STORE YOUR CONTENT, AND YOU UNDERSTAND AND AGREE THAT BY USING THE SERVICE, YOU AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION RELATED TO USE OF THE SERVICE OR BREACH OF THIS AUP.

CONTROLLING LAW & VENUE

This AUP and your use of the Service will be interpreted, governed, and construed by the laws of Minnesota except for its conflicts of laws principles. Any disputes arising from this AUP or your use of the Services will be subject to the sole and exclusive jurisdiction and venue of the federal or state courts in Minnesota. You and we irrevocably waive any and all rights to object to such jurisdiction or venue.

ENTIRE AGREEMENT

This AUP set forth terms governing your use of the Service and supersedes and replaces any other prior or contemporaneous agreements applicable to the subject matter of this AUP other than the Service Terms and the Privacy Policy. This AUP creates no third-party beneficiary rights. This AUP shall inure to the benefit of FlightBridgeED and its respective legal representatives, successors, and assigns.

WAIVER, SEVERABILITY & ASSIGNMENT

FlightBridgeED’s failure to enforce a provision is not a waiver of its right to do so later. You may not assign any of your rights under this AUP, and any such attempt will be void. We may freely assign our rights and obligations under this AUP. Suppose any provision of this AUP is held by a court of competent jurisdiction to be contrary to law. In that case, such provision shall be changed and interpreted to best accomplish the objectives of the original provision to the fullest extent allowed by law. The remaining provisions of this AUP will remain in full force and effect.

MODIFICATIONS

We may revise this AUP from time to time and will post the current version at [LINK]. By continuing to use or access the Service after the revisions come into effect, you agree to be bound by and subject to the revised AUP. If you do not agree to the revisions, your sole and exclusive remedy will be to cease using the Service.
